- Registering a Private Limited Company in Sri Lanka is pretty simple.
What do you need to do?
We’ll first need the following information from your side (end):
1. Â Â Name of your company in English, Sinhala, and Tamil Note: Please provide us with the Sinhala or Tamil pronunciation as well. If the Sinhala or Tamil name isn’t provided, the registrar’s office will decide on the pronunciation and proceed accordingly.
2. Â Â Number of Directors
3. Â Â Distribution of Shares (the shares need to be whole numbers)Â – Price Per Share (LKR)
– Number of Shares Per Shareholder
4. Â Â Full name of Directors & Shareholders typed in English (their names should be identical to their NIC/Passport name)
5. Â Â Permanent addresses of the Directors and Shareholders (City, District, Province, and Postal code)
6. Â Â Contact details of the Directors and Shareholders (email and contact number)
7. Â Â National ID/Passport (scans) of Directors and Shareholders
8. Â Â Business activities the company will undertake
*If the company is engaged in imports and exports, please mention everything the company is planning to import and export
9. Â Â Permanent address of the business (City, District, Province, and Postal code)
10. Â Grama Seva Division of the business
11. The email address of the company
After you have provided the necessary information, we will take care of the rest.Â
We’ll be in charge of filling out and processing all your paperwork for you.Â
Process and timeline of Registration
Once we get all the necessary information from you, we will
Proceed with the company name approval process – 2/3 working days will be required to provide an update
Complete the relevant paperwork within two to three days
Email the completed documents to you to print and sign. Once you sign the documents you can either:
Bring them to us yourself
Courier themÂ
Scan and send the signed copies to usÂ
Submit the application to the Registrar of Companies, (once the signed copies have been handed back to us)
After we submit your application to the RoC, it will take approximately two to three weeks for you to receive a certificate of incorporation.Â

In order to register your business, Sri Lankan law requires you to have a company secretary (Companies Act – No. 7 of 2007).
