Registering a Private Limited Company in Sri Lanka Made Simple

1. Company Name:

   • Provide the name in English, Sinhala, and Tamil.
   • Include the Sinhala/Tamil pronunciation if possible. If not provided, the Registrar’s Office will determine the pronunciation.

   • Total number of shares (whole numbers only)
   • Price per share (LKR)
   • Number of shares per shareholder

4. Details of Directors & Shareholders:

   • Full name (as per NIC/Passport)
   • Permanent address (City, District, Province, Postal code)
   • Contact details (email and phone number)
   • Scanned copy of NIC/Passport

5. Business Activities:

   • Provide details of the business activities.
   • For import/export businesses, specify items planned for import/export.

6. Business Address:

   • Permanent address (City, District, Province, Postal code)
   • Grama Seva Division

7. Company Email Address

   What We Handle

   Once we have the required information, we’ll take care of:

   • Company name approval (2–3 working days).
   • Preparing all necessary paperwork (2–3 working days).
   • Sending the documents for your signature. Options to return signed documents:
     • Drop off in person
     • Courier
     • Scan and email

   After receiving the signed documents, we will submit your application to the Registrar of Companies (RoC). The certificate of incorporation will be ready in approximately 2–3 weeks.

   Sri Lankan law (Companies Act No. 7 of 2007) requires a company secretary for registration.
